1. Acceptance of Terms

By accessing the Propivox website at propivox.com or the platform at app.propivox.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the website or platform.

These Terms constitute a legal agreement between you and Propivox Technologies LLC ("Propivox," "we," "us," or "our"), a limited liability company organized under the laws of the State of California.

2. Pre-Launch and Private Availability

Propivox is currently in private pre-launch development. The platform at app.propivox.com is not publicly available. Access is limited to individuals and organizations that have been specifically authorized by Propivox.

Nothing on this website or in communications from Propivox constitutes a guarantee of:

• Future public availability of the platform
• Access to any pilot or early access program
• Any specific feature, integration, or functionality
• A specific launch date or timeline

Propivox reserves the right to modify, discontinue, or limit access to the platform at any time without prior notice, including during the pre-launch period.

3. Early Access Inquiries

If you contact Propivox to express interest in early access or a pilot program, you understand and agree that:

• Your inquiry does not guarantee access to the platform
• Propivox may or may not respond to inquiries at its sole discretion
• Any access granted during the pre-launch period may be revoked at any time

4. Account Access

If you have been granted access to the app.propivox.com platform:

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify Propivox promptly if you suspect unauthorized access to your account
• You may not share your account credentials with others
• You may not create accounts for any other individuals without authorization

Propivox reserves the right to suspend or terminate any account at any time, including for violation of these Terms or misuse of the platform.

5. Authorized Use of app.propivox.com

Access to app.propivox.com is restricted to individuals and organizations explicitly authorized by Propivox. Unauthorized access attempts are prohibited and may violate applicable law, including the Computer Fraud and Abuse Act.

Authorized users may only access and use the portions of the platform for which they have been granted permission, consistent with their assigned role within their organization.

6. Permitted Use

Subject to these Terms, Propivox grants authorized users a limited, non-exclusive, non-transferable right to access and use the platform for lawful property operations purposes within the scope of their authorization, including:

• Submitting and managing maintenance requests
• Communicating within the platform for property operations purposes
• Accessing records and information within their organization's workspace
• Using announcements and operational features as intended

7. Prohibited Use

You may not:

• Use the platform for any unlawful purpose or in violation of applicable law
• Attempt to gain unauthorized access to any part of the platform or its systems
• Interfere with or disrupt the integrity or performance of the platform
• Upload or transmit malicious code, viruses, or harmful content
• Scrape, crawl, or systematically extract data from the platform without authorization
• Impersonate any person or entity, or misrepresent your affiliation
• Use the platform to harass, threaten, or harm others
• Attempt to reverse engineer, decompile, or disassemble the platform
• Use the platform in any way that could damage, disable, or impair Propivox's systems or reputation

8. No Emergency Services

The Propivox platform is not designed or intended for emergency communications. In the event of an emergency, contact your local emergency services by calling 911 or your applicable local emergency number.

Do not use the Propivox platform to request or coordinate emergency response services. Propivox accepts no liability for any harm arising from reliance on the platform for emergency situations.

9. Property Maintenance Coordination Disclaimer

Propivox provides tools to help coordinate property maintenance requests and communications. Propivox is a software platform only and does not employ contractors, perform maintenance services, or guarantee the quality, safety, or timeliness of any maintenance work arranged through the platform.

Property managers, contractors, residents, and other users are solely responsible for:

• The accuracy of information they enter into the platform
• The quality and safety of maintenance and service work performed
• Compliance with applicable property, safety, and employment laws
• Ensuring appropriate insurance and licensing for service work

10. Intellectual Property

The Propivox platform, website, and all associated content, branding, design, code, and materials are the property of Propivox Technologies LLC and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Propivox's trademarks, logos, trade names, or other proprietary materials without our prior written consent.

You retain ownership of any content or data you submit to the platform. By submitting content, you grant Propivox a limited license to store, process, and display your content solely to operate and provide the Service.

11. Feedback

If you provide feedback, suggestions, or ideas regarding the platform or website, you acknowledge that Propivox may use such feedback without obligation to you, including without compensation or attribution. You represent that any feedback you provide is your original work and does not violate the rights of any third party.

12. Third-Party Services

The platform or website may include links to or integrations with third-party services. Propivox does not control and is not responsible for third-party services, their content, or their practices. Use of third-party services is subject to their own terms and privacy policies.

13. Disclaimers

THE PROPIVOX PLATFORM AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PROPIVOX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS. AS THE PLATFORM IS IN PRE-LAUNCH DEVELOPMENT, IT MAY CONTAIN BUGS, EXPERIENCE DOWNTIME, OR UNDERGO SIGNIFICANT CHANGES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPIVOX TECHNOLOGIES LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PROPIVOX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO PROPIVOX IN THE THREE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Changes to the Service and These Terms

Propivox reserves the right to modify, suspend, or discontinue any aspect of the platform or website at any time. We may also update these Terms at our discretion. When we make material changes, we will update the effective date at the top of this page.

Continued use of the website or platform after updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue use of the platform.

These Terms may be further updated before any public commercial launch of the platform.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Placer County, California.
